RAFF Seller Agreement
  1. 1. Introduction
1.1 This Seller Agreement (“Agreement”) governs the access to and use of the RAFF marketplace platform (“Platform”) by sellers (“Seller”, “you”, “your”).
1.2 The Platform is operated by [RAFF LEGAL ENTITY NAME], a company incorporated in the United Arab Emirates (“RAFF”, “we”, “us”, “our”).
1.3 This Agreement applies exclusively to business entities acting in the course of trade. By registering as a Seller, you confirm that:
  • you are a legally registered business entity; 
  • you have authority to bind such entity; 
  • you agree to comply with this Agreement and applicable laws. 
  1. 2. Role of RAFF
2.1 RAFF operates as a B2B marketplace technology provider.
2.2 RAFF is not:
  • a buyer or reseller of Goods; 
  • a party to transactions between Buyers and Sellers; 
  • an importer, exporter, or logistics provider (unless explicitly stated). 
2.3 All sales contracts are concluded directly between you and the Buyer.

  1. 3. Seller Registration and Verification
3.1 You must complete registration and provide accurate information, including:
  • company registration details; 
  • tax/VAT information; 
  • beneficial ownership information (UBO); 
  • banking/payment details. 
3.2 RAFF may at any time request:
  • additional documentation; 
  • enhanced due diligence (EDD); 
  • verification of business activities. 
3.3 RAFF reserves the right to:
  • approve or reject any Seller application; 
  • suspend or terminate accounts that fail verification. 

  1. 4. Seller Obligations
4.1 You agree to:
  • comply with all applicable laws and regulations; 
  • ensure accuracy of all listings; 
  • fulfill orders in a timely and professional manner; 
  • maintain proper customer communication. 
4.2 You must NOT:
  • sell counterfeit, illegal, or restricted Goods; 
  • misrepresent products or pricing; 
  • engage in fraudulent or deceptive practices; 
  • bypass the Platform to transact with Buyers introduced via RAFF. 
4.3 You are solely responsible for:
  • product compliance; 
  • certifications and regulatory approvals; 
  • warranties and after-sales obligations. 

  1. 5. Listings and Pricing
5.1 You are responsible for all content you upload, including:
  • product descriptions; 
  • pricing; 
  • images and specifications. 
5.2 Prices must:
  • be accurate and not misleading; 
  • clearly indicate whether taxes, duties, or shipping are included. 
5.3 RAFF reserves the right to:
  • remove or modify listings; 
  • correct pricing errors; 
  • restrict certain products or categories. 

  1. 6. Orders and Fulfilment
6.1 When an order is placed, you are obligated to:
  • confirm availability; 
  • process and fulfill the order promptly. 
6.2 You must:
  • comply with agreed Incoterms® (if applicable); 
  • provide shipping and tracking information; 
  • ensure proper packaging and documentation. 
6.3 You may not cancel confirmed orders except in exceptional circumstances.

  1. 7. Payments, Fees, Commissions and Monetization 
  2. 7.1 You agree to pay RAFF the following fees:
a) Onboarding / Connection Fee
A one-time or recurring fee for access to the Platform.
b) Transaction Commission
A percentage fee on each completed transaction.
c) Service Fees
Fees for optional services, including but not limited to:
  • marketing and promotion; 
  • product certification support; 
  • logistics coordination; 
  • other value-added services. 
  1. 7.2 RAFF may modify fees at any time by providing notice via the Platform or email. Continued use of the Platform constitutes acceptance of updated fees.
  2. 7.3 RAFF may:
  • deduct commissions automatically from transaction proceeds; 
  • offset any amounts owed by you; 
  • hold funds for risk, dispute, or compliance purposes. 
  1. 7.4 You are responsible for:
  • banking fees; 
  • currency conversion; 
  • payment provider charges.
  1. 7.5 RAFF may facilitate payments via third-party providers.
  2. 7.6 You acknowledge that:
  • cross-border payments may be subject to delays or restrictions; 
  • currency conversion may apply. 

  1. 8. Additional Services (Marketing, Certification, Logistics)
8.1 RAFF may offer additional services either directly or through third parties.
8.2 Such services may include:
  • marketing campaigns; 
  • certification assistance; 
  • logistics coordination. 
8.3 Unless explicitly agreed:
  • RAFF acts only as an intermediary; 
  • services are provided “as is”; 
  • RAFF is not responsible for third-party performance. 
8.4 You agree that:
  • use of such services is at your own risk; 
  • separate terms or fees may apply.

  1. 9. Cross-Border Trade
9.1 You may sell internationally, including to Buyers in different jurisdictions.
9.2 You are solely responsible for:
  • export compliance; 
  • obtaining export licenses; 
  • correct customs declarations; 
  • compliance with destination country laws. 
9.3 You must ensure that:
  • Goods are permitted for export; 
  • Goods are not subject to restrictions or prohibitions. 

  1. 10. Sanctions and Compliance
10.1 You may operate from any jurisdiction, including the Russian Federation, provided that your activities comply with applicable laws.
10.2 You represent and warrant that:
  • you are not subject to sanctions; 
  • you are not owned or controlled by sanctioned persons; 
  • you are not acting on behalf of sanctioned entities. 
10.3 You agree NOT to:
  • sell restricted or санкционные товары; 
  • circumvent sanctions or export controls; 
  • misrepresent конечных получателей товаров. 
10.4 RAFF may:
  • screen transactions and users; 
  • request compliance documentation; 
  • suspend or block transactions at its discretion. 

  1. 11. Returns, Claims and Disputes
11.1 You are responsible for:
  • handling returns; 
  • addressing claims; 
  • resolving disputes with Buyers. 
11.2 RAFF may provide dispute tools but is not responsible for outcomes.
11.3 You agree to act in good faith to resolve disputes.

  1. 12. Intellectual Property
12.1 You represent that you have rights to all content uploaded.
12.2 You grant RAFF a worldwide, non-exclusive, royalty-free license to use your content for:
  • platform operations; 
  • marketing and promotion. 

  1. 13. Suspension and Termination
13.1 RAFF may suspend or terminate your account if:
  • you breach this Agreement; 
  • you violate laws or sanctions; 
  • you create risk for RAFF or its users. 
13.2 RAFF may do so without prior notice.

  1. 14. Indemnity
You agree to indemnify and hold harmless RAFF from any claims, damages, or liabilities arising from:
  • your products; 
  • your breach of this Agreement; 
  • violations of laws or regulations; 
  • cross-border trade issues. 

  1. 15. Confidentiality
You agree to keep confidential any non-public information obtained through the Platform.

  1. 16. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the United Arab Emirates.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai (onshore).

  1. 17. Miscellaneous
  • Independent contractor relationship only 
  • No partnership or agency created 
  • Force majeure applies 
  • RAFF may update this Agreement at any time
